CHAT Integrated Media – Terms and Conditions

0. Definitions

0.1 “CHAT Media” – CHAT Integrated Media, including its publications, digital platforms, and related services.
0.2 “Advertiser” – Any individual, company, or organization purchasing advertising placements with CHAT Media.
0.3 “Ad Material” – Creative content, artwork, images, text, or other materials supplied by the Advertiser for a Placement.
0.4 “Placement” – Agreed advertising space or schedule, whether in print, digital, or other formats.
0.5 “Technical Issue” – An error, malfunction, or delivery problem that materially affects the execution or visibility of a Placement.


1. Commitment to Readers and Advertisers

1.1 CHAT Integrated Media Inc. (CHAT Media) will make all reasonable efforts to deliver on its commitments to readers and advertisers by providing timely, relevant information and ensuring effective delivery of advertiser messages and materials in print, digital, and any other relevant media formats that might arise.


2. Ad Material

2.1 Advertisers must supply Ad Material to CHAT Media by the deadlines provided, in the format and size specified for the Placement.
2.2 CHAT Media will make reasonable efforts to perform minor adjustments to Ad Material delivered outside published specifications.
2.3 If Ad Material is not supplied by the deadline, CHAT Media may run previously submitted material on file from that Advertiser.
2.4 If an Advertiser believes a Placement suffered from a Technical Issue affecting its effectiveness, they must notify CHAT Media within 30 days of the Placement date. CHAT Media may provide a full or partial make-good Placement within the same calendar year. The Advertiser remains responsible for payment of the originally committed advertising space at the agreed-upon rate, regardless of any make-good provided.


3. Billing Schedule and Payment

3.1 Unless prior arrangements are made, advertising Placements will be billed as follows:

  • 3.1.1 Digital Ad Placements: Billed monthly
  • 3.1.2 Print Ad Placements: Billed upon publication (release of digital edition)

3.2 Payment terms are Net 30.
3.3 Accepted payment methods are:

  • 3.3.1 Electronic funds transfer (preferred; payment advice to admin@chatmedia.ca)
  • 3.3.2 Credit card
  • 3.3.3 Cheque

4. Cancellation Policy

4.1 Cancellations require 60 days’ written notice.
4.2 Premium placements, special positions, covers, and custom programs are non-cancellable.
4.3 In the event of cancellation, CHAT Media reserves the right to short-rate any Placements already executed to the one-time (1x) rate.


5. Liability and Indemnity

5.1 CHAT Media will make reasonable efforts to ensure accuracy in the reproduction and placement of Ad Material. However, CHAT Media is not liable for:

  • 5.1.1 Errors in Ad Material supplied by the Advertiser
  • 5.1.2 Minor typographical errors, formatting issues, or colour variations that do not materially affect the value of the Placement
  • 5.1.3 Loss or damage from delays, interruptions, or failure to publish arising from circumstances beyond CHAT Media’s reasonable control, including postal strikes, work stoppages, or other delivery disruptions

5.2 The Advertiser warrants that all Ad Material complies with applicable laws and regulations and does not infringe any third-party rights.

5.3 The Advertiser agrees to indemnify and hold harmless CHAT Media, its employees, officers, and affiliates from any claims, damages, or expenses (including legal fees) arising from:

  • 5.3.1 The content of Ad Material supplied by the Advertiser
  • 5.3.2 Claims of misrepresentation, defamation, copyright or trademark infringement, or violation of applicable advertising standards

6. Governing Law and Jurisdiction

6.1 These Terms and Conditions, and any agreements with the Advertiser, are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
6.2 Any disputes arising under these Terms and Conditions are subject to the exclusive jurisdiction of the courts of Ontario, Canada.
